TERMS & CONDITIONS OF SERVICE

Almora Technology, LLC DBA Elite Virtual Assistants
(“Elite Virtual Assistants,” “We,” “Us,” or “Company”)

These Terms & Conditions (“Terms”) govern all virtual assistant staffing services (“Services”) provided by Almora Technology, LLC DBA Elite Virtual Assistants to the client (“Client”). By engaging our Services, the Client agrees to these Terms.

1. SERVICES

Elite Virtual Assistants provides virtual assistant staffing, administrative support, and related services tailored to the Client’s business needs. Specific duties, hours, and responsibilities may be further detailed in onboarding documentation or service-level agreements.

2. BILLING & PAYMENT TERMS

2.1 Invoice Frequency

Clients are billed up to two times per month. Invoices are sent via email or SMS.

2.2 Advance Billing

Invoices are issued approximately two weeks in advance of the service period.
Example:

Invoice before November 1 → covers Nov 1–15

Invoice before November 16 → covers Nov 16–30

2.3 Payment Requirement Before Services

Payment in full is required prior to services being rendered.
Failure to pay within 2 days of invoice date will lead to temporary suspension of services until payment is received.

2.4 Accepted Payment Methods

Debit Cards

Credit Cards

Zelle

CashApp

QuickBooks Payments

Zoho Pay

Other approved e-payment platforms

All transaction fees, platform fees, or processing fees are the responsibility of the Client.

2.5 No Refund Policy

All payments are non-refundable, including unused service hours or early cancellation after payment.

3. CANCELLATION POLICY

A minimum 7-day written notice (email acceptable) is required to cancel services.
Canceling services does not entitle the Client to refunds for prepaid invoices.

4. SERVICE INTERRUPTIONS

Elite Virtual Assistants is not responsible for delays caused by:

Late or missing payments

Incomplete instructions or missing access from the Client

Technical or platform outages

Client-requested pauses

Events outside our control

Services resume once issues are resolved and payments cleared.

5. CLIENT RESPONSIBILITIES

The Client agrees to:

- Provide timely communication and clear task instructions

- Supply necessary logins, access, and materials

- Maintain professionalism toward all staff

- Assign only legal and compliant tasks

6. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of all non-public, proprietary, or sensitive information exchanged during the engagement. Confidential information may only be disclosed when legally required.

7. INTELLECTUAL PROPERTY

All deliverables created by Elite Virtual Assistants for the Client become the Client’s property upon full payment for the applicable service period.
Elite Virtual Assistants retains ownership of internal tools, systems, processes, and templates.

8. NON-SOLICITATION

The Client agrees not to solicit, recruit, hire, or contract directly with any Elite Virtual Assistants team member for 24 months after service termination. If the Client hires or contracts directly with an Elite VA outside this agreement, a buyout fee of $5,000 per team member becomes immediately due.

9. INDEMNIFICATION

The Client agrees to indemnify and hold Elite Virtual Assistants harmless from any claims, damages, liabilities, or losses arising from:

- Client instructions or task direction

- Client use of work product

- Violations of laws or platform terms

- Misuse or misdirection of materials or data provided by the Client

10. DATA SECURITY & USAGE

lite Virtual Assistants implements reasonable security measures to protect Client information.
However:

- No system or platform is 100% secure

- The Client must provide only necessary access

- Elite Virtual Assistants is not liable for breaches caused by third-party platforms or the Client’s own systems

The Company does not sell or share Client data.

11. LIMITATION OF LIABILITY

Total liability for any claim relating to the Services is limited to the amount paid by the Client during the current billing period.

Elite Virtual Assistants is not liable for indirect, incidental, or consequential damages such as lost revenue or business interruption.


12. TERMINATION

Elite Virtual Assistants may terminate services immediately if:

- The Client is abusive or inappropriate toward staff

- Tasks requested are illegal, unethical, or violate platform rules

- Invoices remain unpaid for more than 3 days

- The Client repeatedly violates these Terms

Outstanding balances remain due upon termination.

13. GOVERNING LAW

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

14. MODIFICATIONS

Elite Virtual Assistants may modify these Terms at any time with written notice. Continued use of Services constitutes acceptance.

15. FORCE MAJEURE

Elite Virtual Assistants is not liable for failure to perform or delays caused by events beyond reasonable control, including:

- Natural disasters (storms, floods, earthquakes)

- Power or utility outages

- Internet or telecom disruptions

- Labor shortages or strikes

- Government restrictions

- War, terrorism, or civil unrest

- Widespread software or platform outages

Performance resumes when conditions permit.
